Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Teeme platform, including the managed SaaS service at app.teeme.ai, the self-hosted software, the CLI tools, and the agent marketplace (collectively, the "Service"). The Service is provided by dcode technologies S.à r.l., a company incorporated in Luxembourg ("we", "us", "dcode").

By creating an account or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

Teeme is a business-grade AI company platform that enables you to design, deploy, and manage teams of autonomous AI agents. The platform provides goal-setting, strategy planning, organizational charts, governance rules, budget management, and an agent marketplace. Teeme is engine-agnostic: it works with its default runtime (@teeme/engine) or any compatible agent framework via the Bring Your Own Agent (BYOA) protocol.

The Service is offered in two modes:

  • Managed hosting (app.teeme.ai) — we host and run your AI company on EU-based infrastructure.
  • Self-hosted — you download and run the Teeme software on your own infrastructure using the CLI (npx teeme init).

3. Account Registration

To use the managed Service, you must create an account by providing a valid email address. Authentication is handled via magic link (passwordless email login) powered by Supabase. You are responsible for maintaining the security of your email account and for all activity that occurs under your Teeme account.

You must provide accurate and complete information during registration. You may not create an account on behalf of another person without their authorization, and you may not create multiple accounts to circumvent plan limits.

4. Subscription Plans and Pricing

The managed Service is available under the following subscription tiers:

  • Free — 1 company, 3 agents, community support. No charge.
  • Starter— €99/month. Up to 2 companies and 8 agents per company, with email support and basic analytics.
  • Pro— €249/month. Up to 5 companies and 15 agents per company, with priority support, advanced analytics, and marketplace access.
  • Business— €449/month. Unlimited companies and agents, dedicated support, custom integrations, SLA, and full marketplace access.

Prices are in euros (EUR) and exclude applicable VAT. We reserve the right to change pricing with 30 days' written notice. Any price change will take effect at the start of your next billing cycle.

5. Self-Hosted License

The Teeme CLI and @teeme/engine runtime are released under the MIT License. You may use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the software without restriction, subject to the MIT License terms. The self-hosted software is provided free of charge with no usage limits.

The MIT License applies solely to the self-hosted software. The managed Service (app.teeme.ai), marketplace, and associated infrastructure remain proprietary and are governed by these Terms.

6. Payment Terms

All payments for the managed Service are processed through Stripe. Subscriptions are billed monthly in advance on the anniversary of your subscription start date. Failed payments will be retried up to three times over a 7-day period. If payment cannot be collected, your account may be downgraded to the Free tier.

Refunds are handled on a case-by-case basis. If you cancel within the first 14 days of a new subscription, you may request a full refund by contacting [email protected].

7. User Responsibilities

You are responsible for:

  • Your API keys.Teeme agents require API keys for large language model providers (e.g., Anthropic, OpenAI, OpenRouter). You supply these keys yourself. They are stored locally on your machine (self-hosted) or in an encrypted vault (managed hosting) and are never transmitted to Teeme's servers. You are solely responsible for your API key security and any charges incurred from your LLM provider.
  • LLM costs.Usage charges from LLM providers are billed directly by the provider to you. Teeme does not mark up, resell, or intermediate LLM API calls. Your Teeme dashboard tracks estimated costs for transparency, but the provider's invoice is authoritative.
  • Compliance. You must ensure your use of AI agents complies with applicable laws, including the EU AI Act where relevant. You are responsible for the actions your agents take on your behalf.
  • Acceptable use. You may not use the Service for any unlawful purpose, to generate spam, to impersonate others, or to circumvent security measures. We may suspend accounts that violate these rules.

8. Marketplace Terms

The Teeme marketplace allows creators to publish and sell agent templates, pre-trained teams, and integrations. The following terms apply to marketplace participation:

  • Intellectual property. Creators retain full intellectual property rights over their published content. Publishing to the marketplace grants dcode a non-exclusive, worldwide license to distribute, display, and promote the content within the Teeme ecosystem.
  • Revenue splits. For template sales, the split is 70% to the creator and 30% to Teeme. For team rentals (hiring pre-trained agent teams), the split is 80% to the creator and 20% to Teeme. Payouts are processed monthly via Stripe Connect.
  • Quality standards. All marketplace submissions are subject to review. We reserve the right to reject or remove content that is low-quality, misleading, malicious, or in violation of these Terms.
  • No guarantees. Teeme does not guarantee any level of sales or visibility for marketplace listings.

9. Data Handling

For the managed Service, your account data and agent configurations are stored in Supabase (EU region) and on Hetzner VPS infrastructure located in Germany. All data remains within the European Union. We process your data in accordance with the General Data Protection Regulation (GDPR). For full details, see our Privacy Policy.

For the self-hosted version, all data remains on your own infrastructure. We do not collect, access, or process any data from self-hosted installations.

10. Intellectual Property

You retain all rights to your agent configurations, SOUL files, prompts, and any content you create using the Service. Teeme does not claim ownership of your data or configurations.

The Teeme brand, trademarks, marketing website, managed platform code, and documentation are the property of dcode technologies S.à r.l. The self-hosted engine code is licensed under MIT as described in Section 5.

11. Limitation of Liability

To the maximum extent permitted by applicable law, dcode technologies S.à r.l. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Termination

You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period. Upon cancellation, your account will be downgraded to the Free tier.

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in activity that harms the Service or other users. In cases of termination for cause, we will provide reasonable notice when possible.

Upon account deletion, your data will be permanently removed within 30 days, except where retention is required by law. You may request a data export before deletion.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Luxembourg City.
